Terms of Service for Chrome Extension

By installing, activating, or using the Ascent HI Chrome Extension (the "Extension"), you agree to be bound by these legally binding Terms. If you do not agree, do not install or use the Extension. The Extension is provided by Ascent HI LLC ("Ascent HI," "we," "us").

You retain ownership of recordings, uploaded files, and other content you submit. You grant Ascent HI a limited license to process that content solely for the purpose of providing coaching analysis and related services.

1. The Service

The Extension lets you record your microphone, capture a screen/window/tab with audio, or upload an existing file, and submit the audio for AI coaching analysis. Coaching results are made available in your Ascent portal.

2. Recording Consent & Legal Compliance

You are solely responsible for obtaining all required consents from all participants before initiating any recording or screen capture. Recording, capturing, or intercepting a conversation without required consent may violate federal and state law. Recording individuals located within all-party (two-party) consent jurisdictions — including but not limited to California, Illinois, Florida, and Massachusetts — without their explicit, prior verbal or written notice and consent is strictly prohibited. You agree that Ascent HI is not responsible for your compliance with applicable recording, wiretap, or privacy laws, and you will indemnify us for claims arising from your recordings (see Section 6).

3. Acceptable Use

You agree not to use the Extension to record, capture (including screen, window, or tab capture), intercept, or analyze communications in violation of any applicable federal or state wiretap or all-party-consent statutes, or for any unlawful purpose. You agree not to misuse, interfere with, or attempt to gain unauthorized access to the Extension or our systems.

4. AI Coaching Disclaimer

The Extension processes audio through automated transcription and AI analysis. Coaching feedback is provided for informational purposes only and may contain errors or omissions. AI-generated coaching feedback is intended to assist professional development and should not be relied upon as the sole basis for business, legal, employment, or other important decisions. The Extension is provided "as-is" and "as-available" without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Credits & Payment

Any coaching credits or paid features are purchased through the Ascent web platform, not within the Extension; Ascent HI LLC, not Google, is the seller of those services. Applicable pricing, refund, and billing terms are presented at the point of purchase on the Ascent platform.

6. Indemnification

You agree to indemnify and hold harmless Ascent HI LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Extension, your recordings or screen captures, or your violation of these Terms or of any applicable law, including recording, wiretap, or privacy laws.

7. Limitation of Liability

To the maximum extent permitted by law, Ascent HI's total aggregate liability arising out of or relating to the Extension shall be limited to the total amount paid by you to Ascent HI during the six (6) months prior to the event giving rise to the dispute. Ascent HI shall not be liable for indirect, incidental, special, consequential, or punitive damages.

8. Termination

We may suspend or terminate your access to the Extension at any time for violation of these Terms or applicable law. You may stop using the Extension and uninstall it at any time.

9. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of South Carolina, without regard to its conflict-of-laws principles. Nothing in this section limits any mandatory consumer-protection or recording-consent rights that may apply under the laws of your own jurisdiction.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, through in-product or email notice. Continued use after changes take effect constitutes acceptance.

11. Intellectual Property

The Extension, software, trademarks, branding, and related intellectual property remain the property of Ascent HI LLC.

12. Restrictions

You may not copy, reverse engineer, decompile, modify, or redistribute the Extension except as permitted by applicable law.
